This course introduces English company law and employment law whilst also considering various commercial aspects. The course considers the practical side of the law and looks at the various departments in a commercial law firm and how they can work together to meet the needs of the commercial client. The course considers the various types of business structures such as partnerships, private limited companies and public limited companies. It considers the advantages and disadvantages of the various structures, in addition to any formalities which may be required. Commercial aspects will also be considered such as agreements, property, loans and security. The course introduces the company in more detail covering topics such as incorporation, the corporate personality, piercing the corporate veil, the articles of association, the role of directors and their duties and the role of members and remedies. The course also considers insolvency and liquidation. The course further provides an introduction to English employment law, covering topics such as contracts of employment, employment rights, termination of employment, claims on termination and discrimination.
